Complimentary Coaching Agreement

1. Parties
Coach: Keys To Value Ltd (Company No. 16599414), 53 Inchbonnie Road, South Woodham Ferrers, Chelmsford, CM3 5FD.
Client: The individual receiving complimentary or service exchange coaching sessions.
This Agreement sets out the terms under which complimentary and service exchange coaching is provided in exchange for the Client’s testimonial and feedback.
2. Nature of the Agreement
By accepting coaching sessions, the Client agrees to:

Providing a testimonial and feedback as described in Section 10
This Agreement forms a binding understanding between the Coach and the Client.
2.a Service Exchange Agreements
Where coaching is provided as part of a service exchange with another professional, the Client agrees to deliver the agreed service(s) in return for coaching. This exchange forms the basis of the coaching arrangement in place of financial payment.
If the Client does not deliver the agreed service(s) or repeatedly cancels or misses sessions, the Coach may pause or end the coaching arrangement. The Coach is not obligated to continue providing coaching if the reciprocal service is not delivered as agreed.
All other terms in this Agreement apply equally to service-exchange arrangements.
3. Nature of Coaching
Coaching is a forward‑focused, collaborative process supporting personal and professional development. It is not therapy, counselling, medical treatment, legal advice, financial advice, or crisis support.
The Client remains solely responsible for their decisions, actions, and outcomes.
4. Responsibilities of the Coach
The Coach agrees to:
Provide coaching in line with the ICF Code of Ethics
Maintain confidentiality except where required by law or ethical obligations
Deliver sessions at agreed times
Make reasonable adjustments where possible
Seek informal feedback throughout the coaching relationship
5. Responsibilities of the Client
The Client agrees to:
Attend sessions on time and participate fully
Take responsibility for their own decisions and actions
Communicate honestly and openly
Provide a testimonial and feedback as outlined in Section 10
Follow the cancellation and rescheduling policy
The Client acknowledges that the Coach is not liable for decisions or actions taken as a result of coaching.
6. Session Arrangements
Sessions are held virtually unless otherwise agreed
Sessions start and finish at the scheduled time
If the Client is more than 10 minutes late, the session may be treated as cancelled
Minimum frequency: typically one session per month unless agreed otherwise
7. Cancellations and Rescheduling
More than 48 hours’ notice → session may be rescheduled
Less than 48 hours’ notice or non‑attendance → session may be forfeited
If the Coach cancels, the session will be rescheduled
Sessions not rescheduled within a reasonable timeframe may be forfeited unless exceptional circumstances apply.
Coaching is a shared commitment. If the Client cancels with less than 48 hours’ notice or misses a session without notice, the Coach may pause or end the coaching arrangement to ensure that coaching spaces are offered to clients who are ready and able to engage fully.
In the case of a no‑show, the Client may be invited to make a goodwill contribution (e.g., £20) to a charitable cause chosen by the Coach as a way of honouring the time set aside for them before further sessions are scheduled.
8. Confidentiality
Coaching conversations are confidential except where:
Required by law
There is risk of harm
Required for credential verification (if applicable)
Recordings are only made with explicit consent (see Section 9).
The confidentiality obligation continues after the Agreement ends.
9. Recording of Coaching Sessions (Required for Complimentary Coaching)
As part of receiving complimentary or service exchange coaching sessions, the Client agrees that some or all sessions may be audio‑recorded. The Client will always be informed in advance when a session is being recorded.
9.1 Purpose of the Recording
Recordings will be used only for:
Professional mentoring or supervision
Training and development as part of the Coach’s qualification
Assessment by the International Coaching Federation (ICF) or the Coach’s training provider (e.g., Animas)
Recordings will never be used for marketing or promotional purposes.
9.2 Who Will Have Access
Only the following individuals may listen to the recording:
The Coach
The Coach’s approved mentor or supervisor
Assessors at the ICF or the Coach’s training provider
No one else will have access.
9.3 Confidentiality and Data Protection
Recordings will be stored securely and deleted as soon as they are no longer required for the stated purpose.
Recordings will not be shared with any other third parties.
The Client may request deletion of the recording at any time before it is submitted for assessment.
The Client’s access to coaching will not be affected if they choose not to consent to recording.
All recordings are handled in accordance with applicable data protection laws and the Coach’s Privacy Notice.
9.4 Verification Information
The Client understands that their name, contact details, and coaching start/end dates may be shared with the ICF solely for verification that coaching took place. No session content, notes, or recordings will be shared for this purpose.
10. Testimonial & Feedback Requirement (Exchange for Complimentary or service exchange Coaching)
In exchange for receiving complimentary or service exchange coaching sessions, the Client agrees to:
Provide a written testimonial within 14 days of completing the coaching series
Permit the Coach to use the testimonial for marketing purposes (website, social media, proposals, etc.)
Provide honest feedback about their coaching experience when requested
The Client may choose whether their testimonial is:
Fully attributed
Partially attributed (first name + initial)
Anonymous
The Coach will not publish any testimonial without the Client’s explicit approval.
11. Intellectual Property
All materials, tools, and resources provided by the Coach remain the Coach’s intellectual property.
The Client may use materials for personal use only and may not reproduce or distribute them.
12. Ending the Coaching Relationship
Either party may end the Agreement with 14 days’ written notice.
If the Client ends the relationship early, they are still expected to provide feedback on the sessions they attended.
Confidentiality obligations continue after termination.
13. Liability
Except where prohibited by law:
The Coach is not liable for indirect, consequential, or special damages
The Coach is not responsible for the Client’s decisions, actions, or outcomes
Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under law.
14. Concerns and Dispute Resolution
The Client should raise any concerns directly with the Coach so they can be addressed promptly.
If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing legal action.
15. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes fall under the exclusive jurisdiction of the courts of England and Wales.
16. Acceptance
By accepting a complimentary coaching session, the Client confirms that:
They have read and understood this Coaching Agreement
They agree to provide a testimonial and feedback
They understand the nature and boundaries of coaching
They consent to recording where required for training or assessment
They are entering into a mutually beneficial, non‑financial exchange.
17. Intellectual Property Notice
These Terms & Conditions are the intellectual property of Lesley Keys/ Keys To Value Ltd and may not be copied, reproduced, or distributed without written permission.
